About the Nominating Committee
The Nominating Committee is a sub-committee of the Governance Committee. The duties of the Nominating Committee are:
- To consider candidates for election to the Board and nominate at least one (1) qualified person to fill each vacancy by notice in writing to the Chair of the Governance Committee at least ninety (90) days prior to the annual meeting of Members called for the purpose of electing Directors; and
- If requested by the Board, to consider candidates for appointment to the Board to fill vacancies on the Board in such manner and by such time as may be determined by the Board; and
- To perform such other duties as may be determined by the Board from time to time, provided that the Nominating Committee will ensure that all qualification requirements and Board composition set out in the By-laws and policies adopted by the Board are complied with.
The Immediate Past Chair of the Board is the chair of the Nominating Committee, unless another committee member is appointed by the Board to be chair.
